PharMerica Corporation yesterday announced that its Board of Directors, after careful consideration with its independent financial and outside legal advisors, voted unanimously to reject the unsolicited tender offer made by Omnicare to acquire PharMerica for $15.00 per share in cash. The Board determined that the offer undervalues PharMerica and is not in the best interests of PharMerica's stockholders.
In addition to undervaluing PharMerica and its future prospects, the Board believes the offer is illusory because it is subject to significant regulatory and other uncertainty. The Board unanimously recommends that PharMerica stockholders reject Omnicare's offer and not tender their shares to Omnicare. The Board noted that the value offered by Omnicare is unchanged from the unsolicited proposal it first made privately on July 19, 2011 and subsequently made public on August 23, 2011.

Cleantech Transit, Inc. (CLNO)
Cleantech Transit Inc. was founded to capitalize on technology advances and manufacturing opportunities in the growing clean energy public transportation sector. The Company has expanded its focus to invest directly in specific green projects that can maximize shareholder value. Recognizing the many economic and operational advances of converting wood waste into renewable sources of energy, Cleantech has selected to invest in Phoenix Energy (www.phoenixenergy.net).
Biomass is made up of carbon, hydrogen, and oxygen. There are commonly trace elements such as nitrogen, heavy metals, and alkali in the biomass as well. Biomass is energy that is created from essentially only five sources. Alcohol fuels, garbage, landfill gas, waste and wood. Wood is a major energy supplier. Black liquor is a waste product of wood, coming from the pulp of paper production. Waste energy is produced from manufacturing waste, solid waste, and landfill gases. This constitutes the second largest source of biomass.
Ethanol is created mostly from sugarcane and corn. It is considered an alcohol based fuel and is used as a fuel for motor vehicles as well as a fuel additive to enhance performance. Rotting garbage and human waste produces landfill gas, or methane gas. Ethanol gas can be used for transportation fuel, and biodiesel, which is produced from used cooking oils and animal fat.
Sugar cane and recycled wood are used to create energy at the largest biomass power plant in the United States. This single facility produces enough energy to not only power its own operations, but also to supply renewable energy to almost 60,000 houses and reduce oil dependence by over a million barrels each year.
Cleantech Transit, Inc. (CLNO) is pleased to announce it has met its funding requirement to secure the Company's ability to earn in 25% of the 500KW Merced Project.
